1. Acceptance of Terms

Welcome to SetAll ("Company", "we", "our", "us"). These Terms of Service ("Terms") govern your access to and use of the SetAll website, mobile applications, desktop applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service (Non-Custodial Nature)

SetAll is a peer-to-peer expense tracking and mathematical calculation utility designed to help users log shared expenses and determine optimized debt settlements.

  • Not a Financial Institution: SetAll is not a bank, payment processor, money transmitter, or financial institution. We do not hold, transfer, process, or have access to real fiat currency, bank accounts, or credit cards.
  • User Responsibility: The actual transfer of funds to settle debts recorded in SetAll must be executed independently by users via third-party payment methods (e.g., cash, bank transfer, PayPal, Venmo). SetAll is not responsible for any failed transfers, wrong recipients, or unpaid debts between users.

2a. AI-Powered Features Disclaimer

The Service includes an AI-powered feature ("Insights Hub") that uses a third-party large language model (Groq / Llama) to analyse your expense data and provide spending summaries, suggestions, and visualisations.

  • Not Financial Advice: All outputs from the AI Insights Hub are informational only and do not constitute financial, investment, tax, or legal advice. You should not rely on AI-generated content for financial decisions.
  • No Guarantee of Accuracy: AI-generated responses may contain errors, omissions, or outdated information. SetAll makes no warranty as to the accuracy, completeness, or fitness of any AI-generated content.
  • Data Transmitted: When you use AI features, the text of your query and anonymised financial context is sent to our AI infrastructure provider. See our Privacy Policy for details. You may opt out by not using the Insights Hub.

3. Eligibility and Account Security

You must be at least 13 years of age (or 16 in the EEA) to create an account and use the Service. By using the Service, you represent and warrant that you meet these requirements.

When you register, you agree to provide accurate and complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use and User Conduct

You agree to use the Service only for lawful purposes. You agree not to:

  • Use the Service to facilitate, track, or hide illegal transactions, illicit goods, fraud, or money laundering.
  • Harass, abuse, threaten, or defraud other users.
  • Upload, post, or transmit any material that contains software viruses, malware, or malicious code.
  • Attempt to reverse engineer, decompile, hack, disable, interfere with, or disrupt the features, functionality, or security of the Service.
  • Use automated scripts, bots, spiders, or scrapers to access, extract, or index data from the Service without our express written permission.

5. Intellectual Property Rights

The Service, including its original content, design, algorithms (including the "Greedy Flow" engine), code, graphics, and trademarks, are owned by SetAll and are protected by international intellectual property laws.

We grant you a personal, worldwide, royalty-free, non-assignable, non-exclusive, revocable, and non-sublicensable license to access and use the Service strictly as permitted by these Terms. You may not copy, modify, distribute, sell, or lease any part of our Service.

6. User Content

You retain ownership of any data, text, or images you upload to the Service ("User Content"). However, by providing User Content, you grant SetAll a worldwide, royalty-free, non-exclusive license to host, store, process, and display that content solely for the purpose of operating and providing the Service to you and your authorized group members.

6a. Shared Group Data and Account Deletion

When you participate in a shared expense group, your contributions (expense records, split amounts, and settlement history) become part of a shared ledger visible to all group members. This shared data serves a legitimate purpose for other members to track and settle debts.

If you delete your account:

  • Your personal profile information (name, email, avatar) will be removed and replaced with "Deleted User" in group records.
  • Expense and split records you participated in will remain in the shared ledger to preserve settlement accuracy for remaining group members.
  • You may request full anonymisation of your contributions by contacting us at [email protected] prior to account deletion.

7. Third-Party Services and Links

The Service may contain links to third-party websites or integrate with third-party services (e.g., Google OAuth, Apple Sign-In). We do not control and are not responsible for the content, privacy policies, or practices of any third-party websites or services.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis.

To the maximum extent permitted by applicable law, SetAll expressly disclaims all warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the absolute accuracy of currency exchange rates or mathematical calculations; users should verify critical financial figures independently.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall SetAll, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages resulting from:

  • Your access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service, including disputes over unpaid debts between users;
  • Any bugs, glitches, or errors in calculations provided by the Service;
  • Unauthorized access, use, or alteration of your transmissions or content.

In no event shall SetAll's aggregate liability for all claims relating to the Service exceed the greater of $100.00 USD or the amount you paid SetAll, if any, in the past 12 months.

10. Indemnification

You agree to defend, indemnify, and hold harmless SetAll and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney's fees), resulting from or arising out of a) your use and access of the Service; b) a breach of these Terms, or c) any dispute between you and another user regarding shared expenses.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may use the "Delete Account" feature within the app's settings.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Georgia, without regard to its conflict of law provisions.

Informal Resolution: Before initiating any formal proceeding, you agree to contact us at [email protected] and attempt to resolve the dispute informally. We will make good faith efforts to resolve any complaint within 30 days.

Formal Disputes: If informal resolution fails, disputes shall be subject to the exclusive jurisdiction of the courts of Tbilisi, Georgia. If you are an EU consumer, you may also have the right to bring proceedings in the courts of your country of residence under applicable EU consumer protection law.

EU Online Dispute Resolution: If you are an EU resident, you may also submit a complaint to the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

13a. Service Availability

SetAll is provided as a free service on a best-efforts basis. We do not guarantee uninterrupted availability of the Service. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable. SetAll shall not be liable for any service interruptions caused by circumstances beyond our reasonable control, including third-party infrastructure failures.
